BRAND STORYTELLING SERVICES

Effective Date: December 30, 2025

OVERVIEW

The Experiential Writing Studio (TXWS), operated by Meredith L. McGuire McConn of Oceans Enterprises Consulting, LLC, offers Brand Storytelling services to artists, creatives, nonprofits, and food & beverage brands.

This document outlines the terms and conditions for Brand Storytelling services.

1. SERVICE DESCRIPTION

BRAND STORYTELLING is a project-based service designed to help clients articulate their brand story, values, and unique identity through professional writing.

WHAT THIS SERVICE IS:
  • Helping clients VOICE their existing brand identity

  • Capturing authentic stories through recorded interviews

  • Translating conversational storytelling into professional written narrative

  • Creating a foundational document clients can reference and use

WHAT THIS SERVICE IS NOT:
  • Brand identity discovery or strategy consulting

  • Marketing plan or strategy development

  • Logo design or visual branding

  • Ongoing content creation (see Subscription Services for ongoing content)

  • Rebranding consultation

CLIENT READINESS REQUIREMENT:

Clients must have a clear sense of their brand identity before engaging this service. TXWS helps clients articulate and voice what they already know - not discover who they are.

2. DELIVERABLE

THE FOUNDATIONAL BRAND NARRATIVE DOCUMENT (7-11 pages, professionally formatted)

SECTIONS INCLUDE:

1. Origin Story (3-5 pages)
  • How client started their business/practice

  • Personal connection to their work

  • Journey from idea to reality

2. Core Values & Beliefs (1-2 pages)
  • What client stands for

  • Non-negotiable principles

  • How values show up in their work

3. What Makes Them Unique (1-2 pages)
  • Their approach and methodology

  • What differentiates them

  • Why they do it their way

4. Key Messages (1 page)
  • 5-7 core statements for consistent communication

  • Soundbites that capture their essence

5. Voice & Tone Guide (1 page)
  • Examples of how they sound when discussing their work

  • Do's and don'ts for staying on-brand

CLIENT USAGE RIGHTS:
  • Client receives full ownership and may use the Brand Narrative Document for:

  • Website content (About page, mission, founder's story)

  • Marketing materials and collateral

  • Social media content

  • Internal team training and onboarding

  • Press kits and media communications

  • Investor or partner presentations

  • Any business purpose

RESTRICTION:

Client may not resell the document as a standalone product or service.

3. PROCESS & TIMELINE

TOTAL TIMELINE: 10 weeks / approximately 2.5 months

PHASE 1: INTERVIEWS (Weeks 1-3)
  • 2-4 recorded interview sessions

  • Each session typically 60-90 minutes

  • Scheduled at mutually convenient times

  • Conducted via video conference (Zoom, Google Meet, or similar)

PHASE 2: SYNTHESIS & WRITING (Weeks 4-5)
  • TXWS reviews recordings and identifies themes

  • First draft of Brand Narrative Document created

  • Professional formatting applied

PHASE 3: CLIENT REVIEW (Week 6)
  • Client receives first draft

  • Client has 7 business days to provide feedback

  • Feedback should be consolidated in single communication

PHASE 4: REVISION (Week 7)
  • TXWS incorporates client feedback

  • Revised draft delivered

PHASE 5: SECOND REVISION (Week 8, if needed)
  • Client provides additional feedback if necessary

  • TXWS makes final adjustments

PHASE 6: FINAL DELIVERY (Weeks 9-10)
  • Final polish and formatting

  • Delivery of completed Brand Narrative Document

  • File formats: PDF (final) and editable Google Doc

DELAYS:

Timeline depends on client availability for interviews and feedback. Delays caused by client unavailability may extend delivery timeline. TXWS will make reasonable efforts to meet deadlines.

4. INTERVIEW & RECORDING REQUIREMENTS

MANDATORY RECORDING POLICY:

All interviews are recorded for reference and accuracy. This is essential to TXWS's writing process and is non-negotiable.

By signing an agreement with TXWS, Client acknowledges and consents to:
  • All conversations and interviews being recorded

  • Recordings being used solely for creating Client's Brand Narrative Document

  • Recordings being stored securely and never shared with third parties

  • TXWS retaining recordings for 12 months after project completion

Client must sign a Recording Consent & Release Form before first interview.
REFUSAL TO BE RECORDED:

If Client refuses to be recorded or revokes recording consent at any time, TXWS reserves the right to immediately terminate the contract with no refund.

INTERVIEW SCHEDULING:
  • Interviews scheduled at mutually agreed times

  • Client receives calendar invitation with meeting link

  • TXWS will wait no longer than 10 minutes for Client's arrival

  • Interviews conducted via video conference

MISSED INTERVIEWS:
  • First missed/late interview: May reschedule once at no charge

  • Second missed/late interview: $100 rescheduling fee

  • Third missed interview: TXWS reserves right to terminate contract (refund per Section 8)

LATE CANCELLATIONS (less than 24 hours notice):
  • First time: Warning, no fee

  • Second time: $50 fee

  • Third time: Counts as missed interview

5. REVISION POLICY

INCLUDED REVISIONS:

Client receives up to 2 rounds of revisions at no additional charge.

REVISION DEFINED:

"Revision" means: refinements, clarifications, minor adjustments to existing content, fact corrections, tone adjustments within the original scope.

MAJOR REWRITES (ADDITIONAL FEE):
  • "Major Rewrite" means any revision that involves:

  • More than 90 minutes of work

  • Changing 40% or more of original content

  • Introducing new topics/angles not discussed in interviews

  • Complete restructuring or new direction

  • Changes based on conflicting feedback from multiple stakeholders

MAJOR REWRITE FEE: $100/hour (billed in 30-minute increments, minimum 1 hour)

Client will receive written estimate before major rewrite work begins. Client must approve estimate before work commences.

CONSOLIDATED FEEDBACK REQUIREMENT:

Client must provide consolidated feedback in a single communication. Multiple rounds of conflicting feedback from different stakeholders will be considered scope change and subject to Major Rewrite fees.

6. PAYMENT TERMS

PRICING OPTIONS:

OPTION A - PAYMENT PLAN:
  • $1500/month for 3 months = $4500 total

  • Payment 1: Due upon contract signing

  • Payment 2: Due 30 days after Payment 1

  • Payment 3: Due 60 days after Payment 1

  • Payments automatically charged to card on file

OPTION B - PAY IN FULL:
  • $4200 (save $300)

  • Full payment due upon contract signing

  • 6.7% discount for paying in advance

LATE PAYMENT (Payment Plan only):
  • 5-day grace period from due date

  • After 5 days: $50 late fee + 1.5% monthly interest

  • After 15 days: Project suspended until payment received

  • After 30 days: Contract terminated, no refund of payments made

ACCEPTED PAYMENT METHODS:

Visa, Mastercard, ACH, Apple Pay, Stripe

7. CANCELLATION & REFUND POLICY

CANCELLATION BY CLIENT (In Good Standing):

If Client cancels for any reason (not due to TXWS fault):

PAYMENT PLAN ($1500 x 3 months):
  • Before interviews begin: Refund of all payments minus $300 administrative fee

  • After 1st interview completed: Refund of months 2 & 3 minus $500

  • After all interviews completed: Refund of month 3 only if first draft not yet delivered

  • After first draft delivered: No refund

PAID IN FULL ($4200):
  • Before interviews begin: Refund minus $300 administrative fee

  • After 1st interview completed: Refund of 60% ($2520)

  • After all interviews completed: Refund of 30% ($1260) if first draft not yet delivered

  • After first draft delivered: No refund

CANCELLATION NOTICE:

Client must provide written notice via email to [email protected] with the Subject: Cancellation Requested

All refunds processed within 30 business days of cancellation request.

8. TERMINATION BY TXWS

TXWS reserves the right to terminate this agreement for the following reasons:

GROUNDS FOR TERMINATION:

A. IMMEDIATE TERMINATION (Client Breach):
  • Abusive, threatening, or harassing behavior toward TXWS

  • Refusal to be recorded or revocation of recording consent

  • Misrepresentation of Client's business or intentions

  • Requesting illegal, unethical, or plagiarized content

  • Pattern of missed interviews (3 in any 3-month period)

  • Any behavior that violates this agreement

B. TERMINATION WITH NOTICE (Performance Issues):
  • Repeated failure to provide necessary materials/feedback (3+ times)

  • Non-payment or pattern of late payment

  • Failure to respond to TXWS communications within 30 days

REFUND POLICY WHEN TXWS TERMINATES:

A. TXWS'S DECISION (No client wrongdoing - capacity issue, emergency, etc.):
  • Full refund of all payments

B. CLIENT BREACH (Abusive behavior, recording refusal, contract violation):

UNDER PAYMENT PLAN:

  • Before interviews begin: Refund of all payments minus $500 administrative fee

  • After interviews begin: NO REFUND of any payments made

  • Future payments cancelled immediately

PAID IN FULL:

  • Before interviews begin: Refund minus $1000 administrative fee

  • After 1st interview: Refund of 40% maximum ($1680) - TXWS keeps 60%

  • After all interviews completed: NO REFUND - Client forfeits entire payment

C. MUTUAL AGREEMENT (Not working out, but no fault on either side):
  • Refund of unused portion minus equivalent of one month ($1500)

  • Both parties sign mutual release

NOTICE:
TXWS will provide written notice of termination within 5 business days, except in cases of abusive behavior where termination may be immediate without notice.

9. ADD-ON SERVICES (Optional)

After completion of Brand Narrative Document, Client may purchase:

LONG-FORM ABOUT PAGE (2000 words): $500
  • Extended website About page based on Brand Narrative

  • SEO-optimized

  • Ready to publish

SHORT BIO PACKAGE: $300
  • Three versions: 100 words / 250 words / 500 words

  • For programs, speaker bios, media, social profiles

FOUNDER'S PERSONAL STORY (1000-1500 words): $750
  • Standalone piece about founder's journey

  • For media, speaking engagements, personal use

ONGOING CONTENT:

10. INTELLECTUAL PROPERTY & COPYRIGHT

ORIGINAL WORK:

All content created by TXWS is original work and will not be plagiarized.

CLIENT OWNERSHIP:

Upon final payment, Client receives full ownership of the Brand Narrative Document and all content created under this agreement.

CLIENT'S RESPONSIBILITY:
  • Client is responsible for ensuring:

  • All information provided to TXWS is accurate

  • Client has rights to any materials provided to TXWS

  • Client has necessary permissions for any third-party content referenced

  • Content use complies with applicable laws and regulations

INDEMNIFICATION:
  • Client agrees to indemnify and hold harmless TXWS from any claims arising from:

  • Client's use of the content

  • Inaccurate information provided by Client

  • Client's violation of third-party rights

  • Client's use of content in unlawful manner

TXWS PORTFOLIO USAGE:

TXWS may use Client's Brand Narrative Document in its portfolio, case studies, and marketing materials ONLY with Client's advance written consent.

Client has the right to:
  • Decline portfolio usage entirely

  • Request removal from portfolio at any time

  • Approve specific content before TXWS uses it publicly

11. CONFIDENTIALITY

TXWS COMMITMENT:
TXWS agrees to keep all Client information confidential, including:
  • Business strategies and plans

  • Financial information

  • Interview content and recordings

  • Unpublished content

  • Proprietary information

EXCEPTIONS:
TXWS may disclose Client information in the following situations:
  • With Client's written consent

  • As required by law

  • To protect TXWS's legal rights

  • To comply with legal process

RECORDING SECURITY:

All interview recordings stored securely and never shared with third parties except as required by law.

12. WARRANTIES & LIMITATIONS

TXWS WARRANTS THAT:
  • All content will be original and not plagiarized

  • Brand Narrative Document will be professionally written and edited

  • Services will be performed with reasonable care and skill

  • TXWS has the right and authority to enter into this agreement

TXWS IS NOT LIABLE FOR:
  • Delays caused by Client unavailability

  • Results or outcomes from Client's use of content

  • Client's inability to articulate brand identity (prerequisite for service)

  • Technical issues beyond TXWS's control

LIMITATION OF LIABILITY:

TXWS's total liability under this agreement shall not exceed the total amount paid by Client under this agreement.

13. CLIENT RESPONSIBILITIES

Client agrees to:

1. Participate in scheduled interviews at agreed times

2. Provide timely, consolidated feedback (within 7 business days)

3. Respond to TXWS communications within 7 business days

4. Provide necessary materials, information, or access as needed

5. Consent to all interviews being recorded

6. Maintain current payment method on file (if payment plan)

7. Provide 24+ hours notice for interview cancellations

8. Have clear understanding of their brand identity before engaging service

9. Review and approve content before using publicly

10. Use content in accordance with these Terms & Conditions

14. FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:
  • Natural disasters

  • Acts of war or terrorism

  • Government actions or restrictions

  • Pandemics or public health emergencies

  • Internet or telecommunications failures

  • Power outages

If force majeure event prevents performance for more than 30 days, either party may terminate agreement with prorated refund of unused payments.

15. DISPUTE RESOLUTION

INFORMAL RESOLUTION:

Parties agree to first attempt informal resolution of any disputes through good-faith discussion.

MEDIATION:

If informal resolution fails, parties agree to mediation before pursuing litigation.

GOVERNING LAW:

This agreement is governed by the laws of the State of Florida.

JURISDICTION:

Any legal action must be brought in Brevard County, Florida.

16. MODIFICATIONS TO TERMS

TXWS reserves the right to modify these Terms & Conditions for future projects.

Modifications will not affect projects already in progress under previous terms.

Any modifications to an existing project must be in writing and signed by both parties.

17. ENTIRE AGREEMENT

These Terms & Conditions, together with the signed Service Agreement, constitute the entire agreement between Client and TXWS regarding Brand Storytelling services.

This agreement supersedes all prior discussions, negotiations, and agreements.

18. SEVERABILITY

If any provision of this agreement is found to be unenforceable, the remaining provisions remain in full force and effect.

19. REFERRAL DISCLAIMER

From time to time, TXWS may refer clients to other professionals for services outside TXWS's scope of work, including but not limited to brand strategists, marketing consultants, social media managers, web designers, developers, and content writers.

IMPORTANT DISCLAIMERS:

  • TXWS makes referrals based on professional knowledge and good faith, but does not guarantee the quality, timeliness, or outcomes of any referred professional's work

  • Client is solely responsible for vetting, contracting with, and managing any referred professionals

  • TXWS is not liable for any issues, disputes, damages, or unsatisfactory results arising from work performed by referred professionals

  • Any agreements, payments, or disputes between Client and referred professionals are independent of TXWS and this agreement

  • TXWS may or may not receive compensation (referral fees, commissions, or other benefits) from referred professionals, but such arrangements do not influence the quality or nature of TXWS's services to Client

  • Client acknowledges that referred professionals are independent contractors with their own terms, conditions, and business practices

By accepting a referral from TXWS, Client acknowledges they understand and agree to these terms.

21. ACCEPTANCE

By signing the Service Agreement for Brand Storytelling services, Client acknowledges they have read, understood, and agree to these Terms & Conditions.

Client represents they have authority to enter into this agreement on behalf of their organization (if applicable).

Client also acknowledges and consents to all interviews being recorded as specified in Section 4 (Interview & Recording Requirements) and understands that refusal to be recorded will result in immediate contract termination with no refund.
