MASTER SUBSCRIPTION SERVICES

Effective Date: December 30, 2025

OVERVIEW

The Experiential Writing Studio (TXWS), operated by Meredith L. McGuire McConn of Oceans Enterprises Consulting, LLC, offers subscription-based writing services to artists, creatives, nonprofits, and food & beverage brands. This document outlines the terms and conditions that apply to all TXWS subscription services.

These Master Terms & Conditions work in conjunction with your Individual Service Agreement, which specifies your chosen subscription tier, payment terms, and deliverables.

1. SUBSCRIPTION SERVICES OVERVIEW

TXWS offers four subscription tiers:

A. The Sea-Spray: $250/month - Available exclusively to Startups, Artists, Creatives, and Nonprofits
B. The Ripple: $500/month - For Small to Medium Businesses  
C. The Wave: $1000/month - For businesses seeking consistent, high-quality content
D. The Tide: $2000/month - For businesses without a marketing team

Each tier includes:
  • Complimentary Introductory Branding Interview (valued at $150) for new subscribers

  • Monthly recorded interview(s) as specified in your Individual Service Agreement

  • Article(s) based on interview content as specified in your tier

  • Up to 2 rounds of revisions per article

  • Human-written content (no AI, no generic copy)

2. PAYMENT TERMS & PRICING TIERS

All subscription services are available in four payment structures:

A. MONTH-TO-MONTH
  • Billed monthly on the 1st of each month

  • Auto-charged to payment method on file

  • 30-day notice required for cancellation

B. QUARTERLY (3 months prepaid)
  • 10% discount applied

  • Billed on first day of quarter

  • 30-day notice required for cancellation

C. 6-MONTH (prepaid)
  • 13.3% discount applied  

  • Billed on first day of period

  • 45-day notice required for cancellation

D. YEARLY (prepaid)
  • 15% discount applied

  • Billed on contract start date

  • 60-day notice required for cancellation

LATE PAYMENT POLICY:
  • 5-day grace period from due date

  • After 5 days: $25 late fee + 1.5% monthly interest applied

  • After 15 days: Services suspended until payment received

  • After 30 days: Contract terminated, no refund of current period

ACCEPTED PAYMENT METHODS:

Visa, Mastercard, ACH, Apple Pay, Stripe

3. INTERVIEW & RECORDING REQUIREMENTS

MANDATORY RECORDING POLICY:
All interviews are recorded for reference and accuracy. This is essential to TXWS's writing process and is non-negotiable.

By signing this agreement, Client acknowledges and consents to:
  • All conversations and interviews being recorded

  • Recordings being used solely for the purpose of creating Client's content

  • Recordings being stored securely and never shared with third parties

  • TXWS retaining recordings for the duration of the contract plus 12 months for reference

Client must sign a Recording Consent & Release Form before first interview.

REFUSAL TO BE RECORDED:
If Client refuses to be recorded or revokes recording consent, TXWS reserves the right to immediately terminate the contract with no refund.

INTERVIEW SCHEDULING:
  • Interviews scheduled at mutually agreed times

  • Client receives calendar invitation with meeting link

  • Interviews conducted via video conference (Zoom, Google Meet, or similar platform)

  • TXWS will wait no longer than 10 minutes for Client's arrival

4. MISSED INTERVIEWS & RESCHEDULING POLICY

FIRST MISSED/LATE ARRIVAL:
  • 10-minute grace period from scheduled start time

  • First reschedule: FREE (no fee)

  • Must reschedule within same billing cycle

SECOND MISSED/LATE ARRIVAL IN SAME MONTH:
  • 10-minute grace period from scheduled start time

  • Second reschedule: $50 fee (due before rescheduled interview)

  • Interview must occur within current billing cycle or content for that month is forfeited

THIRD MISSED/LATE ARRIVAL (PATTERN BEHAVIOR):
  • Triggers review of client relationship

  • TXWS reserves right to terminate contract

  • Client must provide one meeting cycle's notice before any future interviews

CHRONIC PATTERN (3 misses across any 3 months):
  • Automatic contract termination

  • Client receives 30-day written notice

  • Refund based on payment tier and cancellation policy (Section 6)

  • Client may reapply after 6 months

LATE CANCELLATIONS (less than 24 hours notice):
  • First time: Warning only, no fee

  • Second time: $25 fee

  • Third time: Counts as "missed" interview (subject to policies above)

TXWS CANCELLATIONS/EMERGENCIES:
  • If TXWS needs to cancel or reschedule:

  • Client receives priority rescheduling within 48 hours

  • Client receives extra 15 minutes added to their next interview as courtesy

5. PUSH-OUT OPTION (ALTERNATIVE TO FORFEITING CONTENT)

If Client misses their second rescheduled interview and would otherwise forfeit that month's content, Client may elect the Push-Out Option:

PUSH-OUT TERMS:
  • $75 Push-Out Fee (due immediately upon request)

  • Missed month's content pushes forward to next month

  • All subsequent months' content push forward accordingly

  • Must be requested within 5 business days of the missed meeting (send email to: [email protected] Subject: Push-Out Requested)

  • Push-Out Fee is non-refundable

PUSH-OUT AVAILABILITY:
  • Month-to-Month subscribers: 1 time per calendar year

  • Quarterly subscribers: 1 time per calendar year

  • 6-Month subscribers: 1 time per calendar year

  • Yearly subscribers: 2 times per calendar year

UPGRADE BENEFIT:

If Client upgrades from any tier to a Yearly subscription, they immediately receive 2 Push-Out options for that calendar year (even if they've already used their 1 Push-Out at a lower tier).

6. CANCELLATION & REFUND POLICY

CANCELLATION BY CLIENT:
A. MONTH-TO-MONTH SUBSCRIPTIONS:
  • 30-day notice required (Send email to: [email protected] Subject: Cancellation Requested)

  • Client pays for current month + 30 days

  • Full refund if cancelled before first interview conducted

  • 50% refund if cancelled after interview but before first draft delivered

  • No refund after first draft delivered

B. QUARTERLY SUBSCRIPTIONS (3 months prepaid):
  • 30-day notice required (Send email to: [email protected] Subject: Cancellation Requested)

  • Full refund minus one month if cancelled within first 30 days AND no content delivered

  • After 30 days: Refund of unused months minus 20% administrative fee

  • After first content delivery: Refund of unused months minus one month's fee

C. 6-MONTH SUBSCRIPTIONS (prepaid):
  • 45-day notice required (Send email to: [email protected] Subject: Cancellation Requested)

  • Full refund minus one month if cancelled within first 30 days AND no content delivered

  • After 30 days: Refund of unused months minus 25% administrative fee

  • After first content delivery: Refund of unused months minus two months' fees

D. YEARLY SUBSCRIPTIONS (prepaid):
  • 60-day notice required (Send email to: [email protected] Subject: Cancellation Requested)

  • Full refund minus two months if cancelled within first 60 days AND no content delivered

  • After 60 days: Refund of unused months minus 30% administrative fee

  • After first content delivery: Refund of unused months minus three months' fees

ADMINISTRATIVE FEES:

Administrative fees cover TXWS's time investment in client onboarding, branding interviews, content planning, and capacity allocation.

All refunds processed within 30 business days of cancellation request.

7. PAUSE OPTION (ALTERNATIVE TO CANCELLATION)

Clients may pause their subscription instead of cancelling.

PAUSE TERMS:
  • Available once per calendar year (twice per year for Yearly subscribers)

  • Maximum pause duration: 60 days

  • Pause Fee: $75/month to hold Client's spot in schedule

  • 30-day notice required before pause begins (Send email to: [email protected] Subject: Pause Requested)

  • Interview slot held but no content produced during pause period

  • When Client returns from pause, subscription resumes where it left off

  • Pause Fee is non-refundable

PAUSE AVAILABILITY:
  • Month-to-Month subscribers: 1 pause per calendar year

  • Quarterly subscribers: 1 pause per calendar year

  • 6-Month subscribers: 1 pause per calendar year

  • Yearly subscribers: 2 pauses per calendar year

Pause option useful for clients experiencing: maternity/paternity leave, business restructuring, seasonal business cycles, or temporary capacity constraints.

8. ARTICLE DEVELOPMENT & TURNAROUND TIME

TIMELINE:
  • First draft delivered within 10 business days of completed interview

  • Client has 7 business days to provide revision feedback

  • Revised draft delivered within 5 business days of receiving feedback

  • Final article delivered within 3 business days of final approval

DELAYS:
  • Turnaround time depends on Client's availability for reviews and feedback

  • Delays caused by Client unavailability may extend delivery timeline

  • TXWS will make reasonable efforts to meet deadlines

CLIENT RESPONSIBILITIES:
  • Provide timely, consolidated feedback

  • Respond to TXWS communications within 7 business days

  • Provide necessary materials, information, or access as needed

  • Designate one primary point of contact for feedback (if multiple stakeholders involved)

9. REVISION POLICY

INCLUDED REVISIONS:

Each article includes up to 2 rounds of revisions at no additional charge.

REVISION DEFINED:

"Revision" means: refinements, clarifications, minor adjustments to existing content, fact corrections, tone adjustments within the original scope.

MAJOR REWRITES (ADDITIONAL FEE):
  • "Major Rewrite" means any revision that involves:

  • More than 60 minutes of work

  • Changing 30% or more of original content

  • Introducing new topics/angles not discussed in interview

  • Complete restructuring or new direction

  • Changes based on conflicting feedback from multiple stakeholders

MAJOR REWRITE FEE: $100/hour (billed in 30-minute increments)

Client will receive written estimate before major rewrite work begins. Client must approve estimate before work commences.

CONSOLIDATED FEEDBACK REQUIREMENT:

Client must provide consolidated feedback in a single communication. Multiple rounds of conflicting feedback from different stakeholders will be considered scope change and subject to Major Rewrite fees.

10. CONTENT OWNERSHIP & USAGE RIGHTS

CLIENT OWNERSHIP:

Client receives full ownership of all content created under this subscription.

CLIENT USAGE RIGHTS:
  • Client may use content for any purpose including but not limited to:

  • Website, blog, and social media

  • Newsletters and email campaigns

  • Marketing and promotional materials

  • Internal documentation

  • Press releases

  • Investor presentations

RESALE RESTRICTION:

Client may NOT resell content as a standalone product or service.

TXWS PORTFOLIO USAGE:

TXWS may use Client's content in its portfolio, case studies, and marketing materials ONLY with Client's advance written consent.

Client has the right to:
  • Decline portfolio usage entirely

  • Request removal from portfolio at any time

  • Approve specific content before TXWS uses it publicly

ATTRIBUTION:

If TXWS uses Client's content in portfolio, Client will be credited appropriately with business name and, if Client consents, with link to Client's website.

11. TERMINATION BY TXWS

TXWS reserves the right to terminate this agreement immediately for the following reasons:

GROUNDS FOR IMMEDIATE TERMINATION:
  • Abusive, threatening, or harassing behavior toward TXWS or its representatives

  • Repeated failure to provide necessary materials/feedback (3+ times)

  • Non-payment or pattern of late payment

  • Violation of recording consent agreement

  • Pattern of missed meetings (3 missed meetings in any 3-month period)

  • Requesting illegal, unethical, or plagiarized content

  • Misrepresentation of Client's business or intentions

  • Any behavior that violates this agreement

REFUND WHEN TXWS TERMINATES:
A. TXWS'S DECISION (no Client wrongdoing):
  • Full refund of all unused months

B. CLIENT'S FAULT (missed meetings, abuse, breach of contract):
  • No refund of current month

  • Refund of future unused months minus 30% Administrative Fee

C. MUTUAL AGREEMENT (not working out, but no fault):
  • Refund of unused months minus current month

  • Both parties sign mutual release

NOTICE:

TXWS will provide written notice of termination within 5 business days of termination decision, except in cases of abusive behavior, where termination may be immediate without notice.

12. UPGRADING & DOWNGRADING TIERS

UPGRADING TO HIGHER TIER:
  • Client may upgrade at any time (Send email to: [email protected] Subject: Upgrade Requested)

  • Price difference prorated for current billing period

  • New tier benefits begin immediately upon payment of difference

  • Upgrade to Yearly subscription grants additional Push-Out option for current calendar year

DOWNGRADING TO LOWER TIER:
  • Client may downgrade only at end of current billing period

  • 30-day notice required (Send email to: [email protected] Subject: Downgrade Requested)

  • No refund for difference between tiers in current period

  • Downgrade takes effect at start of next billing period

TIER EXCLUSIVITY:

The Sea-Spray tier is available exclusively to Startups, Artists, Creatives, and Nonprofits. Clients who no longer meet these qualifications must upgrade to The Ripple or higher tier within 30 days of status change.

13. INTELLECTUAL PROPERTY & COPYRIGHT
ORIGINAL WORK:

All content created by TXWS is original work and will not be plagiarized from other sources.

CLIENT'S RESPONSIBILITY:
  • Client is responsible for ensuring:

  • All information provided to TXWS is accurate

  • Client has rights to any materials provided to TXWS

  • Client has necessary permissions for any third-party content referenced

  • Content use complies with applicable laws and regulations

INDEMNIFICATION:
  • Client agrees to indemnify and hold harmless TXWS from any claims arising from:

  • Client's use of the content

  • Inaccurate information provided by Client

  • Client's violation of third-party rights

  • Client's use of content in unlawful manner

14. CONFIDENTIALITY

TXWS COMMITMENT:
TXWS agrees to keep all Client information confidential, including:
  • Business strategies and plans

  • Financial information

  • Interview content and recordings

  • Unpublished content

  • Proprietary information

EXCEPTIONS:
  • TXWS may disclose Client information:

  • With Client's written consent

  • As required by law

  • To protect TXWS's legal rights

  • To comply with legal process

RECORDING SECURITY:

All interview recordings stored securely and never shared with third parties except as required by law.

15. WARRANTIES & LIMITATIONS

TXWS WARRANTS THAT:
  • All content will be original and not plagiarized

  • Articles will be professionally written and edited

  • Services will be performed with reasonable care and skill

  • TXWS has the right and authority to enter into this agreement

TXWS IS NOT LIABLE FOR:
  • Delays caused by Client unavailability

  • Results or outcomes from Client's use of content

  • Third-party publication decisions or rejection

  • Changes in search engine algorithms or social media platforms

  • Technical issues beyond TXWS's control

LIMITATION OF LIABILITY:

TXWS's total liability under this agreement shall not exceed the total amount paid by Client in the 12 months preceding the claim.

16. FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:
  • Natural disasters

  • Acts of war or terrorism

  • Government actions or restrictions

  • Pandemics or public health emergencies

  • Internet or telecommunications failures

  • Power outages

If force majeure event prevents performance for more than 30 days, either party may terminate agreement with prorated refund of unused services.

17. DISPUTE RESOLUTION

INFORMAL RESOLUTION:

Parties agree to first attempt informal resolution of any disputes through good-faith discussion.

MEDIATION:

If informal resolution fails, parties agree to mediation before pursuing litigation.

GOVERNING LAW:

This agreement is governed by the laws of the State of Florida.

JURISDICTION:

Any legal action must be brought in Brevard County, Florida.

18. MODIFICATIONS TO TERMS

TXWS reserves the right to modify these Terms & Conditions with 30 days' written notice to active clients.

Modifications will not affect services already in progress under previous terms.

Continued use of services after modification notice constitutes acceptance of new terms.

Client may cancel within 30-day notice period if they do not agree to modifications.

19. REFERRAL DISCLAIMER

From time to time, TXWS may refer clients to other professionals for services outside TXWS's scope of work, including but not limited to brand strategists, marketing consultants, social media managers, web designers, developers, and content writers.

IMPORTANT DISCLAIMERS:
  • TXWS makes referrals based on professional knowledge and good faith, but does not guarantee the quality, timeliness, or outcomes of any referred professional's work

  • Client is solely responsible for vetting, contracting with, and managing any referred professionals

  • TXWS is not liable for any issues, disputes, damages, or unsatisfactory results arising from work performed by referred professionals

  • Any agreements, payments, or disputes between Client and referred professionals are independent of TXWS and this agreement

  • TXWS may or may not receive compensation (referral fees, commissions, or other benefits) from referred professionals, but such arrangements do not influence the quality or nature of TXWS's services to Client

  • Client acknowledges that referred professionals are independent contractors with their own terms, conditions, and business practices

By accepting a referral from TXWS, Client acknowledges they understand and agree to these terms.

20. ENTIRE AGREEMENT

These Master Terms & Conditions, together with Client's Individual Service Agreement, constitute the entire agreement between Client and TXWS.

This agreement supersedes all prior discussions, negotiations, and agreements.

Any modifications must be in writing and signed by both parties.

21. SEVERABILITY

If any provision of this agreement is found to be unenforceable, the remaining provisions remain in full force and effect.

23. ACCEPTANCE

By subscribing to a TXWS service and signing the Individual Service Agreement, Client acknowledges they have read, understood, and agree to these Master Subscription Services Terms & Conditions.

Client represents they have authority to enter into this agreement on behalf of their organization (if applicable).

Client also acknowledges and consents to all interviews being recorded as specified in Section 3 (Interview & Recording Requirements) and understands that refusal to be recorded will result in immediate contract termination with no refund.
