OVERVIEW

The Experiential Writing Studio (TXWS), operated by Meredith L. McGuire McConn of Oceans Enterprises Consulting, LLC, offers Website Content services to artists, creatives, nonprofits, and food & beverage brands.

This document outlines the terms and conditions for Website Content services, including both project-based overhauls and ongoing maintenance retainers.

1. SERVICE DESCRIPTION

WEBSITE CONTENT SERVICES help clients articulate their brand authentically on their website through professional, human-centered writing.

WHAT THESE SERVICES ARE:
  • Writing website copy that sounds authentically like the client

  • Capturing the client's voice through interviews and conversation

  • Translating passion and story into compelling web content

  • Creating copy that connects with humans first, while also optimizing for search engines

WHAT THESE SERVICES ARE NOT:
  • Generic "content writing" (posts written primarily for algorithms)

  • Marketing strategy or planning

  • Social media content creation

  • Technical website implementation

  • Website design or redesign

  • Content publishing or management

2. MY WRITING LANE

I'm an experiential writer and brand storyteller. I capture authentic voices through conversation and help you sound like YOU on your website. I write for humans first—but I also make sure search engines can find you.

Here's what that means in practice:

WHAT I DO:
  • Interview you about your business and story

  • Write compelling copy that sounds authentically like you

  • Create website pages that tell your story (Home, About, Services, Products, etc.)

  • Craft long-form content that connects with real people

  • Optimize for SEO without sacrificing your authentic voice (keywords, meta descriptions, strategic structure)

  • Work collaboratively with your brand or marketing strategist if you have one

WHAT I DON'T DO:
  • Generic "content writing" (SEO-stuffed posts written primarily for algorithms)

  • Social media content of any kind

  • Marketing strategy or planning

  • Website design, development, or technical implementation

  • Podcast scripts or ad copy

  • Content publishing or management

I'm really clear about my lane because it helps us both know from the start if we're a good fit. If you're looking for someone to pump out high-volume SEO content, generic blog posts, or social media captions, I'm not your writer. But if you want your website to sound like an actual human being runs your business—someone with a story, values, and a reason for existing beyond profit—then we should talk.

And if you need any of those services I don't offer, I'm happy to connect you with excellent professionals who specialize in exactly what you're looking for.

3. TWO SERVICE OPTIONS

TXWS offers two distinct Website Content services:

A. WEBSITE OVERHAUL (Project-Based)
  • One-time complete website rewrite

  • Makes your website sound like you

  • Delivered as finished copy in Google Docs

  • You or your developer implements

B. WEBSITE MAINTENANCE RETAINER (Monthly)
  • Ongoing page updates as your business evolves

  • New product/service descriptions

  • Seasonal copy refreshes

  • Delivered as updates in Google Docs

  • You or your developer implements

PLEASE NOTE: BLOG CONTENT IS NOT INCLUDED IN WEBSITE SERVICES.

4. MY WRITING SCOPE

Here's what I create for your website, and what falls outside my expertise:

CONTENT I CREATE:
  • Website pages (Home, About, Services, Products, Contact, FAQ, etc.)

  • Long-form content (1000-2000+ words)

  • Medium-form content (500-1000 words)

  • Product/service descriptions (paragraph-length)

  • Team bios and founder stories

  • Mission statements and value propositions

  • About pages that tell your origin story

OUTSIDE OF MY SCOPE OF WORK:
  • Social media posts (Instagram, Facebook, Twitter, TikTok, Reels, YouTube)

  • Social media content of any kind

  • Podcast scripts or show notes

  • Ad copy (Google Ads, Facebook Ads, display ads)

  • Marketing emails (promotional sequences, sales funnels)

  • Press releases

  • Short product descriptions for e-commerce (bullet points, blurbs)

  • Anything under 250 words (too brief for my storytelling style)

  • Generic SEO content or "content marketing" focused primarily on algorithms

This clarity helps us both know if we're the right fit from the start.

5. HOW WE WORK TOGETHER

Here's how our collaboration works:

MY PROCESS INCLUDES:
  • Interviewing you about your business and story

  • Writing compelling copy that sounds like you

  • Basic SEO optimization (keywords, meta descriptions)

  • Delivering professional copy in Google Docs

  • Collaborating with your brand or marketing strategist if you have one (additional fees apply)

OUTSIDE OF MY SCOPE OF WORK:
  • Creating your marketing strategy or plan

  • Deciding what pages you need (you or your strategist determines this)

  • Designing your website or choosing layouts

  • Publishing or uploading content to your site

  • Sourcing or editing images

  • Formatting posts in your CMS

  • Providing technical support or troubleshooting

  • Managing your content calendar

My role: You tell me what pages you need. I create the writing that makes your website sound like you.

6. WORKING WITH STRATEGISTS

If you have a brand strategist or marketing consultant, I'm happy to collaborate for an established fee.

THE STRATEGIST'S WORK:
  • Marketing calendar and content planning

  • Decides what pages/content are needed

  • Determines messaging hierarchy and positioning

  • Sets overall marketing and SEO strategy

  • Manages the marketing plan

MY PART:
  • Write the actual copy following your strategist's plan

  • Making the pages/content sound authentic and human

  • Delivering the writing

This is a partnership model where I'm the writer on your team.
COORDINATION FEE: If more than 1 hour of planning calls or coordination with your strategist is required, an additional coordination fee of $200-300/month will apply.

7. CLIENT READINESS REQUIREMENTS

BEFORE ENGAGING WEBSITE CONTENT SERVICES, THE CLIENT MUST:
  • Have a clear understanding of their brand identity

  • Know what their business offers and why it matters

  • Be able to articulate what makes them unique

  • Have decided (or have a strategist who has decided) what pages/content they need

I HELP YOU VOICE WHAT YOU ALREADY KNOW.
If you're unclear on your brand identity or need strategic guidance on what content you need, I'll refer you to a brand or marketing strategist before we begin.

8. INTERVIEW & RECORDING REQUIREMENTS

MANDATORY RECORDING POLICY:
All interviews and conversations are recorded for reference and accuracy. This is essential to my writing process and is non-negotiable.

By signing this agreement, Client acknowledges and consents to:

  • All conversations being recorded

  • Recordings being used solely for creating Client's website copy

  • Recordings being stored securely and never shared with third parties

  • TXWS retaining recordings for 12 months after project completion

Client must sign a Recording Consent & Release Form before first interview.

REFUSAL TO BE RECORDED: If Client refuses to be recorded or revokes recording consent, TXWS will immediately terminate the contract and reserves the right to refuse a refund. Please review the Cancellation and Refund Policy below.

9. WEBSITE OVERHAUL (PROJECT-BASED) - SPECIFIC TERMS

PRICING:
Pricing is determined after a Discovery Call based on:
  • Number of pages to be written

  • Complexity of offerings

  • Timeline requirements

  • Scope of work

TYPICAL RANGES:
  • Small sites (5-7 pages): $2500-$3500

  • Medium sites (8-12 pages): $4000-$6000

  • Large/complex sites (13+ pages): Custom quote

PAYMENT OPTIONS:

A. PAY IN FULL

  • Total amount due upon contract signing

  • 5% discount applied

B. PAYMENT PLAN

  • 50% due upon contract signing

  • 25% due at midpoint

  • 25% due upon final delivery

TIMELINE:

Typical timeline: 6-10 weeks depending on project size

PHASES:
  1. Discovery & audit (1 week)

  2. Interviews (1-2 weeks)

  3. Writing (2-3 weeks)

  4. Client review (1 week)

  5. Revisions (1 week)

  6. Final delivery (3-5 days)

WHAT'S INCLUDED:
  • Content audit of existing website

  • Interviews about business and offerings

  • Rewriting of agreed-upon pages

  • Basic SEO (keywords, meta descriptions)

  • Up to 2 rounds of revisions

  • Final copy delivered in Google Docs

WHAT'S NOT INCLUDED:
  • Website design or redesign

  • Technical implementation

  • Image sourcing or editing

  • Publishing/uploading to website

  • Training on CMS

  • Ongoing maintenance (that's the retainer)

REVISIONS:

INCLUDED: Up to 2 rounds of revisions

MAJOR REWRITES: If revisions involve more than 90 minutes of work, changing 40%+ of content, or introducing new scope, additional fees apply at $100/hour.

CONSOLIDATED FEEDBACK: Client must provide consolidated feedback in a single communication. Multiple rounds of conflicting feedback from different stakeholders will be considered scope change, subject to additional fees or termination of the project. Please review Section 11, Refund & Cancellation Policy, for more information.

10. WEBSITE MAINTENANCE RETAINER - SPECIFIC TERMS

PRICING TIERS:
TIER 1 - LIGHT MAINTENANCE: $500/month
  • 2-3 page updates per month

  • Minor copy tweaks

  • Seasonal updates

  • Basic SEO optimization

TIER 2 - STANDARD MAINTENANCE: $1000/month
  • 4-6 page updates per month

  • New product/service descriptions

  • Quarterly site refreshes

  • SEO optimization

TIER 3 - FULL MAINTENANCE: $1500/month
  • 8-10 page updates per month

  • Continuous content optimization

  • Monthly site audits

  • Priority turnaround

WHAT'S INCLUDED:
  • Monthly page copy updates

  • New product/service descriptions (copy only)

  • Seasonal messaging refreshes

  • SEO updates (meta descriptions, keywords)

  • Copy delivered in Google Docs

WHAT'S NOT INCLUDED:
  • Publishing/implementation (you or your developer handles this)

  • Image sourcing

  • Blog post writing (that's Subscription Services)

  • Major site overhauls (that's a new project)

  • Technical support

PAYMENT TERMS:
  • Billed monthly on the 1st

  • Auto-charged to payment method on file

  • 30-day notice required for cancellation

USAGE:

Updates roll over for ONE (1) month only. If unused, they expire.

Example: Month 1, you use 2 updates (Tier 1 = 3 updates/month). You have 1 rollover. Month 2, you can use 4 updates total. Any unused updates after Month 2 expire.

SCOPE:

"Update" = One (1) page or section rewrite/refresh (up to 500 words)

Larger updates may count as multiple updates depending on scope.

11. REFUND & CANCELLATION POLICY

WEBSITE OVERHAUL (PROJECT):
CANCELLATION BY CLIENT (In Good Standing):

PAID IN FULL:

  • Before interviews begin: Refund minus $300 administrative fee

  • After interviews, before writing begins: Refund of 50%

  • After first draft delivered: No refund

PAYMENT PLAN:

  • Before interviews begin: Refund of all payments minus $300 administrative fee

  • After interviews, before writing begins: Refund of remaining payments minus 25%

  • After first draft delivered: No refund of payments made

BREACH OF CONTRACT:

If TXWS terminates due to client violation:

PAID IN FULL:

  • Before interviews: Refund minus $1000 administrative fee

  • After interviews begin: Refund of 40% maximum

  • After first draft: NO REFUND

PAYMENT PLAN:

  • Before interviews: Refund minus $500 administrative fee

  • After interviews begin: NO REFUND of payments made

WEBSITE MAINTENANCE RETAINER:
CANCELLATION BY CLIENT (In Good Standing):
  • 30-day notice required

  • Client pays for current month + 30 days

  • No refund for current month

  • Unused updates from current month forfeit

PAUSE OPTION (In Good Standing):
  • Client may pause retainer for up to 60 days once per year

  • $75/month pause fee to hold spot

  • 30-day notice required

  • No updates provided during pause

12. TERMINATION BY TXWS

TXWS reserves the right to terminate this agreement if circumstances require it. Here are the situations that may lead to termination:
GROUNDS FOR TERMINATION BY TXWS:
  • Abusive, threatening, or harassing behavior (Immediate termination; NO REFUND)

  • Refusal to be recorded or revocation of recording consent (Immediate termination; see Section 11 for Refund Policy)

  • Non-payment or pattern of late payment

  • Repeated failure to provide necessary materials (3+ times)

  • Pattern of missed meetings (3 in any 3-month period)

  • Requesting illegal, unethical, or plagiarized content (Immediate termination; NO REFUND)

  • Misrepresentation of business or intentions (Immediate termination; NO REFUND)

  • Any behavior that violates this agreement

REFUND WHEN TXWS TERMINATES:

A. TXWS'S DECISION (no client wrongdoing):

  • Full refund of unused portion

B. CLIENT BREACH:

  • Refund per Section 11 above (minimal or no refund)

C. MUTUAL AGREEMENT:

  • Refund of unused portion minus one month equivalent

  • Both parties sign mutual release

13. CONTENT OWNERSHIP & USAGE RIGHTS

CLIENT OWNERSHIP:

Upon final payment, Client receives full ownership of all website copy created under this agreement.

CLIENT USAGE RIGHTS:
Client may use copy for:
  • Website

  • Marketing materials

  • Internal documentation

  • Any business purpose

RESTRICTION:

Client may NOT resell copy as a standalone product or service.

TXWS PORTFOLIO USAGE:

TXWS may use Client's website copy in portfolio, case studies, and marketing materials ONLY with Client's advance written consent.

Client has the right to:
  • Decline portfolio usage entirely

  • Request removal from portfolio at any time

  • Approve specific content before TXWS uses it publicly

14. INTELLECTUAL PROPERTY & COPYRIGHT

ORIGINAL WORK:

All content created by TXWS is original work and will not be plagiarized.

CLIENT'S RESPONSIBILITY:
Client is responsible for ensuring:
  • All information provided to TXWS is accurate

  • Client has rights to any materials provided to TXWS

  • Client has necessary permissions for any third-party content referenced

  • Content use complies with applicable laws and regulations

INDEMNIFICATION:
Client agrees to indemnify and hold harmless TXWS from any claims arising from:
  • Client's use of the content

  • Inaccurate information provided by Client

  • Client's violation of third-party rights

  • Client's use of content in unlawful manner

15. CLIENT RESPONSIBILITIES

CLIENT AGREES TO:
  1. Participate in scheduled interviews/calls

  2. Provide timely feedback (within 7 business days)

  3. Respond to TXWS communications within 7 business days

  4. Provide necessary materials, information, or access

  5. Consent to all interviews being recorded

  6. Maintain current payment method on file (if payment plan/retainer)

  7. Provide 24+ hours notice for meeting cancellations

  8. Have clear understanding of brand identity before engaging

  9. Implement copy on website (TXWS does not publish)

  10. Use content in accordance with these Terms & Conditions

16. TXWS RESPONSIBILITIES

TXWS AGREES TO:
  1. Conduct professional interviews

  2. Create original, human-written copy (no AI)

  3. Deliver copy within agreed timelines

  4. Provide up to 2 rounds of revisions (projects)

  5. Keep all Client information confidential

  6. Store interview recordings securely

  7. Provide professional writing and editing services

  8. Communicate clearly about deadlines and expectations

17. CONFIDENTIALITY

TXWS COMMITMENT:
TXWS agrees to keep all Client information confidential, including:
  • Business strategies and plans

  • Financial information

  • Interview content and recordings

  • Unpublished content

  • Proprietary information

EXCEPTIONS:
TXWS may disclose Client information:
  • With Client's written consent

  • As required by law

  • To protect TXWS's legal rights

  • To comply with legal process

18. WARRANTIES & LIMITATIONS

TXWS WARRANTS THAT:
  • All content will be original and not plagiarized

  • Website copy will be professionally written and edited

  • Services will be performed with reasonable care and skill

  • TXWS has the right and authority to enter into this agreement

TXWS IS NOT LIABLE FOR:
  • Delays caused by Client unavailability

  • Results or outcomes from Client's use of content

  • Technical issues with Client's website

  • Implementation errors by Client or their developer

  • SEO ranking results (many factors beyond copy affect rankings)

LIMITATION OF LIABILITY:

TXWS's total liability under this agreement shall not exceed the total amount paid by Client under this agreement.

19. FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:
  • Natural disasters

  • Acts of war or terrorism

  • Government actions or restrictions

  • Pandemics or public health emergencies

  • Internet or telecommunications failures

  • Power outages

If force majeure event prevents performance for more than 30 days, either party may terminate agreement with prorated refund of unused payments.

20. DISPUTE RESOLUTION

INFORMAL RESOLUTION:
Parties agree to first attempt informal resolution of any disputes through good-faith discussion.

MEDIATION:
If informal resolution fails, parties agree to mediation before pursuing litigation.

GOVERNING LAW:
This agreement is governed by the laws of the State of Florida.

JURISDICTION:
Any legal action must be brought in Brevard County, Florida.

21. MODIFICATIONS TO TERMS

TXWS reserves the right to modify these Terms & Conditions for future projects.
Modifications will not affect projects already in progress under previous terms.
Any modifications to an existing project must be in writing and signed by both parties.

22. ENTIRE AGREEMENT

These Terms & Conditions, together with the signed Service Agreement, constitute the entire agreement between Client and TXWS regarding Website Content services.
This agreement supersedes all prior discussions, negotiations, and agreements.

23. SEVERABILITY

If any provision of this agreement is found to be unenforceable, the remaining provisions remain in full force and effect.

24. REFERRAL DISCLAIMER

From time to time, TXWS may refer clients to other professionals for services outside TXWS's scope of work, including but not limited to brand strategists, marketing consultants, social media managers, web designers, developers, and content writers.

IMPORTANT DISCLAIMERS:
  • TXWS makes referrals based on professional knowledge and good faith, but does not guarantee the quality, timeliness, or outcomes of any referred professional's work

  • Client is solely responsible for vetting, contracting with, and managing any referred professionals

  • TXWS is not liable for any issues, disputes, damages, or unsatisfactory results arising from work performed by referred professionals

  • Any agreements, payments, or disputes between Client and referred professionals are independent of TXWS and this agreement

  • TXWS may or may not receive compensation (in the form of referral fees, commissions, and/or other benefits) from referred professionals, but such arrangements do not influence the quality or nature of TXWS's services to Client

  • Client acknowledges that referred professionals are Independent Contractors with their own terms, conditions, and business practices

By accepting a referral from TXWS, Client acknowledges they understand and agree to these terms.

25. FREQUENTLY ASKED QUESTIONS (FAQ)

Q: Are you a content writer?

No, I'm not a content writer—I'm a brand storyteller and experiential writer.

The difference? Content writers typically focus on volume—producing blog posts, articles, and web copy optimized primarily for search algorithms. I focus on voice—capturing your authentic story through conversation and translating it into compelling copy that sounds like you.

I do optimize for SEO, but I won't sacrifice your authentic voice to chase keywords. My work sounds like you're having a conversation with your favorite customer—not like a marketing robot wrote it.

If you're looking for high-volume content production, I'm happy to refer you to excellent content writers who specialize in that. But if you want your website to sound like an actual human being with a story, values, and purpose—that's my specialty.

Q: Will you publish the copy to my website?

No. I write the copy and deliver it to you in Google Docs. You or your developer implements it on your website. I don't log into CMSs, upload content, or manage technical aspects of your site.

Q: Can you write my social media posts?

No. I don't write social media content of any kind. I write long-form, story-driven content for websites. If you need social media content, I can refer you to someone who specializes in that.

Q: Will you help me figure out what pages my website needs?

No. You (or your marketing strategist) decide what pages you need. I write them. If you're unsure what pages you need, I can refer you to a brand or marketing strategist who can help with that planning work.

Q: Do you write blog posts?

Not as part of Website Services. If you wish to have me produce content for your blog, see my Subscription Services, through which I write articles you can use on your blog, in newsletters, or on social media.

Q: Can you also redesign my website?

No. I'm a writer, not a web designer. If you need design work, I can refer you to excellent web designers. I focus solely on the words.

23. ACCEPTANCE

By signing the Service Agreement for Website Content services, Client acknowledges they have read, understood, and agree to these Terms & Conditions.

Client represents they have authority to enter into this agreement on behalf of their organization (if applicable).

Client also acknowledges and consents to all interviews being recorded as specified in Section 8 (Interview & Recording Requirements) and understands that refusal to be recorded will result in immediate contract termination with no refund.
